The key objective of the Associate General Counsel, Commercial & Compliance is to drive the strategic direction and roadmap for commercial transactions, compliance, litigation management and legal best practices to support the business strategy and objectives. Core to this role is serving as a trusted advisor and subject-matter expert to leaders and colleagues to ensure that the Company follows general laws, policies & regulations.

This role requires exceptional judgment, critical-thinking and problem-solving skills with the ability to proactively use data to innovative and compliant continuous improvement.

Essential Functions: Responsibilities of the Associate General Counsel, Commercial & Compliance include but are not limited to:

EBITDA Performance, Revenue Growth and Efficient Use of Resources

  • Review, revise and advise on commercial transactions and litigation management
  • Develop, implement, and evolve our company-wide ethics and compliance initiatives towards the company’s policies and the law
  • Partner with key stakeholders to establish a company-wide compliance culture including the development of specialized training and awareness programs
  • Collaborate with cross-functional leads to gather data, create program plans and monitor progress for a range of ESG projects (i.e., labor/human rights and diversity & inclusion, etc.)
  • Collaborate with the business to identify compliance issues and potential compliance exposures for mitigation
  • Ensure business activities minimize legal risk and are compliant with, local, state, and federal regulatory requirements, company policy and industry needs, recommends appropriate changes, educating employees as needed
  • Conduct complex investigations and provide timely, objective recommendations to mediate investigative concerns
  • Utilize reports and dashboards to inform business leaders on trends, highlighting key trends in laws impacting our business
  • Track laws and regulations that may affect organizational policies and practices; minimizes legal risk by recommending and implementing changes to policies and practices, and related training
  • Consult with, as appropriate, external attorneys as needed to resolve compliance issues
  • Review investor and public communications, and other external documents for compliance accuracy
  • Maintain a Compliance Record to manage issues and potential exposures, and utilizes appropriate channels for investigation and resolution; assist with training on Code of Conduct Matters
  • Prepare, review and verify accuracy of all compliance documentation
  • Lead compliance initiatives for organizational change, including mergers & acquisitions
  • Manage compliance reporting for reporting to executives, audit committee, etc.
  • This is a team-based role and will assist Legal, HR, Operations, etc. as well as help drive our Company’s Strategies and promote our Values

Qualifications, Skills & Experience

The successful candidate will possess:

  • 10 years or more of progressive experience in commercial transactions, litigation management, compliance, legal and/or other control-related function in a complex, global organization
  • Juris Doctorate
  • Awareness of regulatory requirements including local and US laws, international and industry standard
  • Proven track record creating the foundational elements of an effective compliance program such as drafting policies, creating and delivering training, and implementing effective compliance auditing and monitoring programs.
  • Excellent organizational change-management skills operating in matrix or other ambiguous, complex organizational structure
  • Ability to persuade and influence without authority
