ABOUT THE JOB:

WillScot Mobile Mini is seeking a dynamic Associate General Counsel to join its Legal department.  The Associate General Counsel-Corporate & Securities will be an experienced corporate lawyer who is comfortable overseeing SEC filings, M&A and financing activities as well as other general in-house legal work. This position reports to the Chief Legal Officer and requires excellent communication and interpersonal skills as this is a high visibility role with frequent interaction with the executive leadership team and outside counsel.

WHAT YOU'LL BE DOING:

  • Coordinate and oversee the Company’s compliance with securities laws, including working with internal teams and outside counsel to draft and review the Company’s periodic filings (including proxy and Section 16 filings).
  • Partner with internal leadership and outside counsel with respect to M&A, capital markets, and financing transactions.
  • Develop and maintain policies for compliance with securities-related regulatory requirements, including Sarbanes-Oxley, NASDAQ listing standards, Regulation FD and insider trading rules, and proxy advisory firm policies.
  • Support the CLO and Board of Directors in ongoing corporate governance matters.
  • Assist other legal team members and business leaders with general in-house legal matters as needed, including employment law, litigation, real estate and commercial contracting matters.
  • Take a significant role in the professional development of Legal team members.
  • Others legal duties as assigned.

EDUCATION AND QUALIFICATIONS:

  • Active member in good standing of a U.S. state bar (and eligible to register in Arizona as in-house counsel)
  • 6+ years of legal experience with foundational training at a recognized law firm, preferably combined with in-house experience in a corporate legal department.
  • Expertise in securities laws and filings, M&A, financing transactions and corporate governance matters.
  • Experience working with public company boards and committees.
  • Experience in advising on commercial transaction and drafting/reviewing related agreements.
  • Knowledge of equity compensation plans and executive compensation.
  • Outstanding judgment and integrity; intellectual curiosity, innovative thinking, and ability to provide practical and solution-oriented advice.
  • Mastery of communication skills and styles, both written and verbal. Demonstrated ability to effectively present information to internal and external partners.
  • A strong team player attitude, with the ability to build and maintain relationships at all levels, including senior executives, field team leaders and cross-functional peers.
  • Excellent analytical and problem-solving skills, business acumen and judgment, strategic legal thinking, initiative, attention to detail and ability to work independently.
  • Exceptional interpersonal skills and a commitment to professionalism and collegiality.
  • Able to pass a background check and pre-employment drug test.
